Terms of Use

These Terms explain the rules for using SmartVest, SmartVest Professional trials and subscriptions, the independent roles of participants, the current non-financial referral workflow, and the conditions that would govern any future approved paid referral program.
1. Agreement and operator
These Terms form an agreement between you and SMARTVEST TECHNOLOGIES INC., Ontario Corporation Number 1001712591, operating the SmartVest platform. By creating an account, accepting a referral, or using SmartVest, you agree to the current version presented to you. If you do not agree, do not use the Platform. Non-waivable consumer, privacy, and other statutory rights continue to apply.
2. Eligibility and accounts
You must have reached the age of majority where you reside and have legal capacity to agree. SmartVest does not offer a minor-user workflow. Give accurate information, keep credentials confidential, use only your own account, promptly report suspected compromise, and do not create accounts or referrals through impersonation, automation, or deception.
3. SmartVest’s role
SmartVest is primarily a software, SaaS, referral-management, marketplace, scheduling, and recordkeeping platform. Professionals and businesses are independent participants. Unless separately licensed or authorized, SmartVest is not an insurer or insurance agent for a client, investment dealer or adviser, mortgage lender or brokerage, real-estate brokerage, lawyer, or accountant.
SmartVest does not guarantee a participant’s licence, suitability, advice, service quality, availability, conversion, commercial outcome, revenue, referral, or reward. Verify a professional’s credentials and decide independently whether to proceed.
4. Roles and client choice
Users may participate as clients, referrers, professionals, businesses, or authorized administrators. A referred client may accept or decline an invitation and has no obligation to register, meet, purchase, invest, borrow, insure, transact, or continue. SmartVest consent does not replace any consent, disclosure, suitability, or agreement required by an underlying professional.
5. Referrer responsibilities
- Obtain the person’s permission to make the introduction and provide their contact information before submitting it.
- Do not use purchased or scraped lists, public-directory data without permission, fake or duplicate referrals, meeting-farming, collusion, impersonation, or misleading information.
- Do not give regulated advice, suitability analysis, negotiation, product recommendations, or closing services unless properly authorized.
- Comply with privacy, anti-spam, advertising, professional, and material-connection disclosure requirements.
- Never promise a SmartVest reward when no active approved ReferralProgram applies.
6. Professional and business responsibilities
Professionals and businesses must keep required licences, registrations, insurance, profile information, and authorizations current; use client data only for the accepted referral purpose; comply with privacy, marketing, consumer, professional, and regulatory rules; report outcomes honestly; cooperate with legitimate audits and disputes; avoid circumvention; and follow the applicable ReferralProgram. SmartVest referral consent is not unrestricted permission for unrelated marketing.
7. Acceptable use and restricted categories
Use SmartVest only for lawful, honest activity. Adult or sexual services and sexually explicit commercial businesses are prohibited. SmartVest may reject or restrict unlawful, exploitative, deceptive, provider-prohibited, or unacceptable-risk activity. Regulated categories—including insurance, investments or securities, mortgages, and real estate—require separate authorization and an eligible approved program before any paid referral feature may operate.
8. Current non-financial referral mode
SmartVest may support introductions, registration, assignment, scheduling, Google Meet, service communications, outcome tracking, and trust/history records while financial features are disabled. In this mode, no reward is promised or earned, no funding is required, no payable balance is created, and no payout or transfer is owed.
9. Future paid ReferralPrograms
If SmartVest later activates an approved paid ReferralProgram, eligibility will be governed only by the identified program, category, professional, version, effective period, compliance status, and locked rules accepted for that referral. A program may define qualified and conversion rewards, guaranteed promotional bonuses, optional appreciation bonuses, eligibility, qualification and conversion windows, observation periods, extensions, holds, cooldowns, audits, reversals, and compliance conditions.
A registration, introduction, scheduled appointment, or meeting alone never automatically earns compensation. Qualified and conversion events must satisfy the applicable state machine and program evidence. A purported guaranteed bonus is guaranteed only as expressly defined in an active program; an appreciation bonus remains discretionary unless validly awarded under that program.
10. Future Business Acquisition Referral campaigns
Business Acquisition Referrals are distinct from client-service referrals. If separately activated, an adult, verified, eligible participant may introduce a genuinely new business to SmartVest under one identified, active, versioned campaign. The campaign—not browser input—controls attribution, eligibility, qualification, reward method, amount or capped calculation, timing, exclusions, and expiry.
Self-referrals, related-entity referrals, duplicate attribution, existing SmartVest businesses, and known leads inside the campaign lookback are ineligible. A referral or registration does not earn a reward. The acquired business must satisfy the locked campaign’s subscription-payment and qualification conditions. Any reward is a SmartVest customer-acquisition marketing expense, not a share of the referred business’s professional revenue.
11. Product Chargebacks and recovery
A Product Chargeback is a reversal, cancellation, clawback, lapse, rescission, refund, or similar event under the professional’s underlying product or provider contract. It is different from a Stripe payment dispute. If an approved product rule was shown and affirmatively accepted before the applicable paid referral, the locked rule may permit recovery of specified paid reward components during a stated window.
Recovery is never an automatic debit from a referrer’s bank account or card. SmartVest uses an evidence and review process, a challenge window, an immutable recovery ledger, oldest-first offsets against future otherwise-eligible rewards, and optional voluntary repayment. Confirmed recovery may restrict paid-referral eligibility. It does not erase the underlying referral history.
12. Outcome integrity, observations, disputes, and audits
Participant statements are supporting evidence, not automatically independent proof—especially when the participant has an economic interest. SmartVest may use platform records, observation periods, trust history, risk signals, disputes, and authorized review. “No Deal Reported” may remain pending during a review period, and a business may request a permitted evidence-based extension. Referrers may challenge materially inaccurate outcomes through the available process.
Deliberately concealing or misreporting a referral-derived transaction to avoid an established reward obligation is prohibited. A legitimate commercial discount alone does not prove circumvention. SmartVest will investigate before a final determination or penalty.
13. Trust and enforcement
SmartVest may calculate reasonable informational performance and trust metrics for professionals, businesses, and referrers. Sample-size controls may produce “Insufficient history.” Metrics are not guarantees and users may challenge materially inaccurate factual information. Internal client risk signals are not public ratings.
SmartVest may use proportionate warnings, feature restrictions, temporary suspension, investigation, and removal for security, misuse, fraud, legal, provider, or integrity concerns. It may preserve records needed for audit, dispute, suppression, security, or legal obligations after closure.
14. SmartVest business plans and Opportunity Credits
SmartVest offers Free at CA$0 with one SmartVest Opportunity Credit per monthly cycle; Starter at CA$29 monthly or CA$290 annually with five credits per monthly cycle; Growth at CA$49 monthly or CA$490 annually with ten credits per monthly cycle; and Unlimited at CA$99 monthly or CA$990 annually without a plan-based monthly credit cap. Prices are in Canadian dollars before applicable tax unless checkout states otherwise.
An eligible new business or professional may receive one 30-day cardless Starter trial with five credits total for the trial. CA$0 is due, no payment method is required, and no Stripe subscription is created merely to start the trial. If the user does not separately choose a paid plan before expiry, the account continues automatically on Free without suspension or deletion.
One credit governs one new legitimate SmartVest-facilitated commercial opportunity accepted for a receiving business. This includes a new referred person and an existing client’s genuinely new product or service opportunity. A credit may be reserved during validation and is consumed only when required client confirmation and business acceptance make the opportunity active. A decline, invalidity, or duplicate before activation releases the reservation. Multiple meetings, follow-ups, support, continuing an existing case, and ordinary servicing do not consume another credit. Credits do not guarantee a sale, reset at the applicable monthly cycle boundary, and do not roll over. Any exceptional restoration requires an authorized, auditable action.
15. Paid-plan billing and changes
Selecting a paid plan opens Stripe-hosted Checkout. The checkout disclosure identifies the seller, selected plan and interval, price, currency, applicable tax treatment, renewal, cancellation, refund terms, and amount due. Paid plans renew automatically for the selected interval until cancellation.
A paid-plan upgrade may take effect immediately only after the user reviews and confirms the Stripe proration preview. A downgrade is scheduled for the end of the current paid period. Cancellation likewise stops renewal at the paid-period boundary and the account then continues on Free; account, referral, credit-audit, meeting, billing, and other required histories are preserved.
Failed payment may limit paid-plan features but does not erase the underlying account or required records. Stripe’s Customer Portal supports the billing controls made available there, which may include invoices, receipts, payment methods, plan details, and cancellation. Statutory rights are not limited.
16. Stripe, funding, transfers, refunds, disputes, and taxes
Stripe processes SmartVest business subscriptions. Referral funding, connected-account transfers, Business Acquisition Rewards, and Product Chargeback Recovery are separately gated. Check the relevant program or campaign for current availability. SmartVest is not offering pooled escrow, a trust account, or a general deposit account. Each eligible paid client-referral obligation must be linked to one referral and one accepted versioned program.
Prices are in Canadian dollars unless shown otherwise. Taxes may be added or included as disclosed at checkout. Users remain responsible for their own tax obligations and information reporting. Infrastructure availability alone never creates a reward or authorizes a transfer; eligibility, versioned acceptance, payment evidence, verification and reconciliation remain required.
17. Communications and material connections
SmartVest may send necessary account, referral, scheduling, security, transactional, and legal messages. Optional marketing requires separate consent where required and may be unsubscribed from. A person eligible for referral compensation must prominently disclose the material connection—for example: “I may be eligible to receive a referral reward if you use my SmartVest referral and the applicable program requirements are satisfied.” Do not conceal a material connection.
18. Third-party services
SmartVest may use Stripe, Google Calendar/Meet, email delivery, hosting, database, monitoring, and security providers. Their services and terms may affect availability. Authorized Advisors and Businesses who voluntarily connect Google authorize only the identity, email, owner-calendar event, and meeting-space functionality presented in the connection flow. SmartVest controls its access layer; Google controls the underlying Calendar and Meet services.
19. Content, intellectual property, and platform changes
SmartVest and its licensors retain rights in the Platform, brand, software, and original content. You retain rights in authorized content you submit and grant SmartVest a limited licence to host, use, process, and share it only to operate, secure, support, and lawfully improve the Platform. You confirm you have authority to provide it. SmartVest may change features or these Terms; material changes may require new affirmative acceptance before affected use continues.
20. Disclaimers and liability
To the extent permitted by law, the Platform is provided on an “as available” basis without guarantees of uninterrupted operation, outcomes, third-party performance, referrals, revenue, or rewards. Nothing excludes liability or rights that cannot legally be excluded. Subject to those rights, SmartVest is not responsible for indirect or consequential loss arising from independent professional services, third-party systems, or misuse outside its reasonable control.
You are responsible for losses and reasonable costs caused by your unlawful use, unauthorized data submission, fraud, infringement, or material breach, to the extent permitted by law and proportionate to your conduct.
21. Governing law and contact
